Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Local Feast Co ("Company," "we," "us," or "our"). By accessing or using our website at localfeastco.com or any related services (collectively, the "Platform"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Platform. Continued use after the effective date of any changes constitutes your acceptance of the revised Terms.
2. Eligibility
You must be at least 18 years of age and a resident of the United States to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. Use of the Platform is void where prohibited by applicable law.
3. Description of Services
Local Feast Co is an online marketplace that connects event hosts ("Customers") with local catering professionals including caterers, restaurants, and food trucks ("Vendors") for private and corporate events. Our services include:
- Receiving and managing event requests from Customers
- Matching Customer requests with suitable Vendors
- Facilitating quote delivery, vendor selection, and booking confirmation
- Processing event bookings and vendor payments
- Collecting post-event reviews and feedback
Local Feast Co acts as an intermediary platform. We are not a catering company and do not provide food or event services directly. Vendors are independent businesses, not employees or agents of Local Feast Co.
4. Customer Responsibilities
As a Customer, you agree to:
- Provide accurate and complete information when submitting event requests
- Respond promptly to vendor shortlists and confirmation requests
- Honor confirmed bookings; cancellations must be communicated to Local Feast Co at admin@localfeastco.com as early as possible
- Treat Vendors with professionalism and respect
- Not submit fraudulent, false, or duplicate event requests
- Not contact Vendors through channels outside of the Platform to circumvent the booking process
5. Vendor Responsibilities
As a Vendor, you agree to:
- Provide accurate information about your business, cuisine, pricing, and availability
- Respond to assigned event requests in a timely manner (indicate availability and provide a quotation where applicable)
- Fulfill all confirmed bookings with the professional standard of service described in your profile
- Notify Local Feast Co immediately if you are unable to fulfill a confirmed booking
- Provide accurate bank and payout information for payment processing
- Comply with all applicable federal, state, and local laws, including food safety regulations, business licensing, and tax obligations
- Not solicit Customers for future events outside of the Platform during the term of your engagement with Local Feast Co
6. Vendor Onboarding and Approval
Vendors must apply through the Platform and receive approval from Local Feast Co before listing their services. Approval is at our sole discretion. We may reject, suspend, or terminate a vendor account at any time for failure to meet our quality or compliance standards.
A commission percentage agreed upon during onboarding applies to each booking. The commission is deducted from the vendor's payout. Commission rates are confidential between Local Feast Co and each individual Vendor; they are not disclosed to Customers.
7. Payments and Fees
Payment terms, booking fees, and vendor commission rates are established during the vendor onboarding process and documented in the booking record. By confirming a booking, both parties agree to the applicable payment terms.
Vendor payouts are processed after booking close approval by Local Feast Co administration. We are not responsible for delays caused by inaccurate banking information provided by Vendors.
Customers may be charged a platform service fee as communicated at the time of booking confirmation. All fees are in U.S. dollars.
8. Cancellations
Only Local Feast Co administrators may cancel a confirmed booking or event request on the Platform. Customers who need to cancel must contact us at admin@localfeastco.com immediately. Cancellation policies and any applicable refunds or fees will be communicated at that time and depend on how far in advance the cancellation occurs.
Local Feast Co is not liable for losses incurred by Vendors due to Customer cancellations beyond amounts expressly promised under a specific booking agreement.
9. Reviews and Feedback
Customers may submit a post-event review after a booking is completed. Reviews must be honest, accurate, and based on firsthand experience. We reserve the right to remove reviews that are fraudulent, abusive, or violate these Terms. Reviews may be displayed publicly on vendor profiles.
10. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of these Terms
- Impersonate any person or entity, or misrepresent your affiliation with a person or entity
- Attempt to gain unauthorized access to any part of the Platform or its underlying systems
- Scrape, copy, or redistribute any content from the Platform without permission
- Use the Platform to transmit spam, malware, or any harmful content
- Interfere with the proper functioning of the Platform
- Engage in any conduct that could damage the reputation of Local Feast Co or its Vendors
11. Intellectual Property
All content on the Platform — including logos, text, design, software, and compilation of vendor listings — is the property of Local Feast Co or its content suppliers and is protected by U.S. and international copyright, trademark, and other intellectual property laws.
Vendors retain ownership of images, menu descriptions, and other content they upload to the Platform but grant Local Feast Co a non-exclusive, royalty-free license to display that content on the Platform and in marketing materials.
12. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LOCAL FEAST CO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.
LOCAL FEAST CO DOES NOT GUARANTEE THE QUALITY, SAFETY, LEGALITY, OR ACCURACY OF ANY VENDOR LISTING. CUSTOMERS CONTRACT DIRECTLY WITH VENDORS, AND LOCAL FEAST CO IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF VENDORS IN FULFILLING THEIR SERVICES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOCAL FEAST CO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL LOCAL FEAST CO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO LOCAL FEAST CO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Local Feast Co and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your violation of these Terms, or your violation of any rights of another person or entity.
15. Dispute Resolution
15.1 Informal Resolution
Before filing any formal legal action, you agree to contact us at admin@localfeastco.com and give us 30 days to attempt to resolve the dispute informally.
15.2 Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims involving intellectual property rights.
15.3 Class Action Waiver
You agree to resolve disputes with Local Feast Co on an individual basis only. You waive any right to bring or participate in a class action, class arbitration, or representative proceeding.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Local Feast Co is incorporated, without regard to its conflict of law provisions. Federal and state courts located in that state shall have exclusive jurisdiction over any disputes not subject to arbitration under Section 15.
17. Termination
We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, all licenses granted to you under these Terms will immediately terminate. Sections 11, 12, 13, 14, 15, and 16 survive termination.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Local Feast Co with respect to the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written.
